INTRALOT SUCCESSFULLY PRICES €250 MILLION SENIOR NOTES OFFERING

INTRALOT S.A. Integrated Lottery Systems and Services today announced the successful pricing of an offering of €250 million 6% Senior Notes due 2021 (the “Notes”), to be issued by its indirect subsidiary INTRALOT Capital Luxembourg S.A., a public limited liability company (société anonyme) organized under the laws of the Grand Duchy of Luxembourg. The initial offering of €200 million was substantially oversubscribed and upsized to €250 million. Numerous international investors and funds from Europe, North America and Asia participated in the offering. The Notes were offered at an issue price of 99.294% and the Notes’ coupon was set at 6%.

The Notes are expected to be admitted to trading on the Luxembourg Stock Exchange’s Euro MTF market.

The proceeds will be used to repay existing bank debt and for general corporate purposes. INTRALOT expects the Notes will improve its long-term liquidity and strengthen its funding base.

Citigroup, Deutsche Bank, J.P. Morgan and Société Générale acted as Global Coordinators; Nomura, Alpha Bank and Eurobank acted as Joint Bookrunners; and Banca IMI, Berenberg and Geniki Bank acted as co-managers of the transaction.
